1. TERMS OF SERVICE (T&Cs)

1.1 Acceptance of Terms
By accessing or using www.biscuitreader.com ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.
1.1.1 Defined Terms
Platform: The website located at www.biscuitreader.com, owned and operated by Help You IT Limited.
User: Any person who accesses or uses the Platform.
Content: All text, images, audio, video, software, and other materials available on or through the Platform.
User Content: Content submitted, uploaded, or published by Users on the Platform, including but not limited to literary works, poetry, short stories, novels, essays, articles, and other creative written works.
AI Training Prohibition: Your work may not be used to train, develop, or improve artificial intelligence systems, machine learning models, large or small language models, or any automated systems that generate content, without express written permission from the copyright holder. This prohibition applies to Help You IT Limited, the Platform, and its affiliates.
Standard Copyright Protection: The copyright owner retains all rights and grants Help You IT Limited only non-exclusive rights to host and display the work on the Platform for the purpose of operating the service.
1.2 Eligibility
You must be at least 13 years of age to use the Platform. If you are under 18, you must have parental or guardian consent to use the Platform.
By creating an account, you represent and warrant that:
· You meet the age requirements
· All information you provide is accurate and current
· You will maintain the accuracy of such information
· You have the legal capacity to enter into these Terms
1.3 Account Registration and Responsibilities
1.3.1 Account Creation
You may need to create an account to access certain features of the Platform. When creating an account, you must:
· Provide accurate, complete, and current information
· Choose a secure password
· Maintain the security and confidentiality of your account credentials
· Not share your account with others
1.3.2 Account Responsibilities
You are responsible for:
· All activities that occur under your account
· Maintaining the confidentiality of your password and account information
· Notifying us immediately of any unauthorized access or security breach
· Ensuring that your use of the Platform complies with these Terms
1.3.3 Multiple Accounts
One person may not maintain multiple accounts. If we discover you have created multiple accounts, we reserve the right to merge or terminate duplicate accounts.
1.4 User-Generated Content
You retain full ownership of all intellectual property rights in content you upload ("Your Content"). Nothing in these Terms transfers ownership to Help You IT Limited.
1.4.1 License Grant to Platform
By uploading Your Content to the Platform, you grant Help You IT Limited:
· A worldwide, non-exclusive, royalty-free license to host, store, display, distribute, and promote Your Content on the Platform
· The right to create derivative works solely for technical or operational purposes (e.g., format conversion for different devices, backup copies, thumbnail generation, text indexing for search functionality)
· A sublicensable license to enable third-party service providers (e.g., hosting services, content delivery networks, backup services) to perform these technical functions on our behalf
· The right to use, reproduce, and commercialise Your Content in connection with the Platform's services, including promotional and marketing activities (unless you opt out of Platform commercial use as described in Section 1.4.4 below, in which case this right is limited to non-commercial hosting, display, promotion of the Platform itself, and operational/technical purposes such as format conversion, backups, and search indexing)
This license exists solely to enable us to operate the Platform and make Your Content available to other users in accordance with your chosen distribution settings and license.
IMPORTANT: This license does NOT permit use of Your Content for training, developing, or improving artificial intelligence systems, machine learning models, or any automated content generation systems. This prohibition applies to Help You IT Limited and all third parties.
1.4.2 Your Warranties
You represent and warrant that:
· You own or have obtained all necessary rights, licenses, consents, and permissions to upload and share Your Content
· Your Content does not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights
· Your Content complies with all applicable laws and regulations
· Your Content does not contain any viruses, malware, or other harmful code
1.4.3 Indemnification
You agree to indemnify, defend, and hold harmless Help You IT Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
· Your Content
· Your use of the Platform
· Your violation of these Terms
· Your violation of any rights of another party
· Your violation of any applicable laws or regulations
1.4.4 Opt-Out for Platform Commercial Use
You may opt out of the Platform's commercial use of Your Content (beyond what is strictly necessary for hosting, displaying, basic promotion of the Platform, and operational/technical purposes) at any time.
How to Opt Out: During upload of new content, or via your account settings/dashboard for existing content, you may select an option such as "Opt out of Platform commercial use" (or similar toggle/checkbox). This setting applies per work or account-wide as chosen.
Effect of Opt-Out: If you opt out:
· We will limit our use of Your Content to non-commercial activities directly related to operating and promoting the Platform (e.g., displaying in search results, featuring in non-monetized newsletters or social media posts about BiscuitReader, technical optimizations)
· We will not use Your Content for direct revenue-generating activities by the Platform outside of commissions on any user-enabled sales/resales of Your Content, nor for external licensing, syndication, sponsored promotions unrelated to basic Platform advertising, or other commercial exploitation
Scope and Limitations:
Opting out does not affect or revoke: (i) the licenses granted for hosting, storage, display, and user access; (ii) any sublicenses to third-party service providers for technical/operational support (e.g., CDNs, backups); (iii) rights under your chosen license in Section 1.5 (which third parties must still respect); or (iv) any prior good-faith uses made before the opt-out took effect.
If you select a Non-Commercial Creative Commons license under Section 1.5 (e.g., CC-BY-NC, CC-BY-NC-SA, CC-BY-NC-ND), we will automatically treat this as an opt-out for Platform commercial use (unless you explicitly override via settings).
Changes to Opt-Out: You may change your opt-out preference at any time. Changes apply prospectively to future uses. We will use reasonable efforts to honor opt-outs promptly upon receipt.
No Penalty: Opting out does not reduce visibility of Your Content on the Platform, affect your ability to enable resale, or impact other users' rights under your chosen license.
1.5 Licensing Options for User Content
When uploading Your Content, you must choose how you want to license it to other users. The Platform respects your chosen license and will display it prominently with Your Content.
Where your chosen license is Non-Commercial (e.g., any CC-BY-NC variant), this will automatically trigger an opt-out of Platform commercial use under Section 1.4.4 unless you elect otherwise in your settings.
Available License Options:

· You retain all copyright and related rights
· Others must obtain your explicit permission for any use beyond reading on the Platform
· Best for authors planning traditional publication or who want maximum control
#### 1.5.2 Creative Commons Zero (CC0) - Public Domain Dedication
· You waive all copyright and related rights to the work
· The work may be copied, modified, distributed and performed, even for commercial purposes, all without asking permission
· No attribution required
· Best for those who want maximum sharing with no restrictions
#### 1.5.3 Creative Commons Attribution (CC-BY)
· The work may be copied, distributed, displayed, performed, and modified, including for commercial purposes
· Credit must be given to the original creator in the manner specified by the licensor
· Best for building reputation while allowing broad reuse
#### 1.5.4 Creative Commons Attribution-ShareAlike (CC-BY-SA)
· The work may be copied, distributed, displayed, performed, and modified, including for commercial purposes
· Credit must be given to the original creator
· Derivative works must be distributed under the same or compatible license
· Best for collaborative projects and ensuring work stays "free"
#### 1.5.5 Creative Commons Attribution-NoDerivatives (CC-BY-ND)
· The work may be copied, distributed, displayed, and performed, including for commercial purposes

· Best for maximum protection while allowing limited personal sharing
#### 1.5.9 Custom License
· You may specify your own licensing terms
· Custom licenses must be clearly written and legally valid
· The Platform will display your custom license with Your Content
· You are responsible for enforcing your custom license terms
1.5.10 Changing Your License
You may update the license for Your Content at any time through your account settings. However:
· Any copies already distributed under the previous license remain under that license
· For Creative Commons licenses, permissions already granted cannot be revoked for existing copies
· Changes apply prospectively to new uses and distributions
1.6 User Conduct
You agree not to:
· Violate any applicable local, state, national, or international law or regulation
· Infringe any intellectual property rights, privacy rights, or other rights of any third party
· Upload, post, or transmit any malicious code, viruses, worms, Trojan horses, or other harmful software
· Harass, abuse, threaten, defame, or intimidate any other user or person
· Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
· Engage in any unauthorized commercial activities on the Platform
· Attempt to gain unauthorized access to the Platform, other users' accounts, or any computer systems or networks connected to the Platform
· Interfere with or disrupt the operation of the Platform or servers or networks used to make the Platform available
· Use any automated system (including robots, spiders, or scrapers) to access the Platform, except with our prior written permission
· Collect, harvest, or compile information about other users without their consent
· Upload content that you do not have the right to upload
· Engage in any activity that could damage, disable, overburden, or impair the Platform
1.7 Content Moderation
1.7.1 Our Rights
We reserve the right (but have no obligation) to:
· Monitor, review, edit, or remove User Content at our discretion
· Suspend or terminate accounts that violate these Terms
· Report illegal activity to law enforcement authorities
· Cooperate with legal proceedings and investigations
We use a combination of automated tools and human review to moderate content.
1.7.2 No Obligation to Monitor
We are not obligated to monitor User Content and do not pre-screen all content before it is posted. We may, however, review content at our discretion or in response to user reports.
1.7.3 User Reports
If you believe content violates these Terms or applicable law, you may report it using the reporting tools on the Platform or by emailing report@biscuitreader.com.
1.8 Copyright Infringement and DMCA Takedown
1.8.1 Designated Agent for US DMCA Compliance
Help You IT Limited respects the intellectual property rights of others and expects users to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).
If you believe content on the Platform infringes your copyright, submit a written notice to our designated DMCA agent:

Your notice must include:
1. A physical or electronic signature of the copyright owner or person authorized to act on their behalf
2. Identification of the copyrighted work claimed to have been infringed (or a representative list if multiple works)
3. Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material (such as URL or specific page location)
4. Your contact information, including your address, telephone number, and email address
5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner
1.8.2 Counter-Notice
If you believe content was removed or access was disabled by mistake or misidentification, you may submit a counter-notice to dmca@biscuitreader.com containing:
1. Your physical or electronic signature
2. Identification of the material that was removed or disabled and the location where it appeared before removal
3. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
4. Your name, address, and telephone number
5. A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if outside the US, any judicial district in which the Platform may be found), and that you will accept service of process from the person who provided the original DMCA notice
1.8.3 Repeat Infringer Policy
We will terminate the accounts of users who are repeat copyright infringers in appropriate circumstances.
1.9 Intellectual Property and Platform Ownership
1.9.1 Platform Intellectual Property
The Platform design, software, logos, trademarks, service marks, trade names, and all non-user Content (including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software) remain the exclusive property of Help You IT Limited or its licensors.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any Platform materials without our prior written permission.
1.9.2 User Content Ownership
As stated in Section 1.4, you retain full ownership of your User Content. Help You IT Limited does not claim ownership of Your Content.
1.10 E-Commerce and Resale Terms
1.10.1 Enabling Resale
You may choose to enable the resale of Your Content through the Platform. If you do:
· You set your own pricing
· The Platform takes a commission of 15% per transaction
· Payment processing is handled by Stripe or other third-party payment processors
· You agree to the terms of service of the payment processor
1.10.2 Seller Responsibilities
If you enable resale of Your Content, you are responsible for:
· Ensuring your Content complies with all applicable laws
· Providing accurate descriptions of Your Content
· Fulfilling any obligations related to the sale (though content is delivered digitally through the Platform)
· Handling customer service inquiries related to Your Content
· Complying with applicable tax laws and regulations
· Honoring refund requests in accordance with applicable law and our Refund Policy
1.10.3 Buyer Responsibilities
If you purchase content, you agree to:
· Provide accurate payment information
· Complete authorized transactions
· Use purchased content in accordance with its license terms
· Not share purchased content in violation of license terms
1.10.4 Platform Role
The Platform acts as an intermediary to facilitate transactions between buyers and sellers. We are not a party to the transaction between buyer and seller. Disputes regarding content quality, delivery, or other transaction issues should be resolved between the buyer and seller.
1.11 Data Retention and Site Closure
1.11.1 Content Removal
If you choose to delete Your Content, it will be removed from public view immediately. However:
· Backup copies may persist for up to 30 days for technical reasons
· Cached or archived versions on third-party sites are beyond our control
· Content shared by other users under your chosen license remains available under that license
1.11.2 Account Deletion
You may delete your account at any time by contacting enquiries@biscuitreader.com. Upon account deletion:
· Your Content will be removed from public view immediately
· You will have 60 days to download Your Content
· After 60 days, Your Content will be permanently deleted from our active systems
· Backup copies may persist for legal or security reasons as permitted by law
· Upon request, we will confirm deletion of your personal data and content in accordance with your GDPR/UK GDPR erasure rights (see Privacy Policy Section 2.9)
1.11.3 Platform Closure
In the unlikely event we decide to close the Platform, we will:
· Provide at least 90 days' advance notice
· Enable bulk download tools for users to retrieve their content
· Maintain a read-only archive for an additional 60 days after the closure date
· Permanently delete all user data after the archive period expires
1.12 Disclaimers and Limitation of Liability
1.12.1 "As Is" Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
We do not warrant that:
· The Platform will meet your requirements
· The Platform will be available at all times or without interruption
· Any content, services, or features on the Platform will be accurate, reliable, or correct
· Any defects or errors will be corrected
· The Platform or servers are free of viruses or other harmful components
1.12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
· The Platform is provided "AS IS" without warranties of any kind
· We do not warrant uninterrupted, secure, or error-free service
· We are not liable for loss of content, data, or profits
· Our total aggregate liability to you (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) shall not exceed the greater of: (i) £1,000; or (ii) the total amount you have paid us in the 12 months immediately preceding the claim. This cap applies per user and per claim event.
· We are not liable for indirect, incidental, consequential, special, or punitive damages
This limitation does not apply to: (i) liability for death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by law (including under the Consumer Rights Act 2015).
1.12.3 User Disputes
Disputes between users regarding User Content, transactions, or other matters are the responsibility of the users involved. We may provide information to assist in resolution but are not obligated to intervene in user disputes.
1.13 Dispute Resolution
1.13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
1.13.2 Jurisdiction
Subject to Section 1.13.3 below, the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
1.13.3 Alternative Dispute Resolution (ADR)
Before pursuing litigation, we encourage users to contact us to seek an informal resolution of any dispute. If we cannot resolve a dispute through informal negotiation, you may contact enquiries@biscuitreader.com to request details for alternative dispute resolution (ADR) or mediation services.
For EU Consumers: You may access the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr for assistance with resolving disputes.
1.14 Termination
1.14.1 Termination by You
You may terminate your account at any time by following the account deletion process or by contacting enquiries@biscuitreader.com.
1.14.2 Termination by Us
We may suspend or terminate your account and access to the Platform, with or without notice, if:
· You violate these Terms
· You engage in fraudulent, illegal, or harmful activity
· Your conduct poses a risk to the Platform, other users, or third parties
· We are required to do so by law
· We discontinue the Platform
1.14.3 Effect of Termination
Upon termination of your account:
· Your right to use the Platform ceases immediately
· We may delete Your Content in accordance with Section 1.11
· Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution) will continue in effect
1.15 Prohibited Activities
In addition to the restrictions in Section 1.6, you specifically may not use the Platform to:
· Sell, license, or distribute counterfeit, stolen, or illegal materials
· Engage in fraudulent schemes or deceptive practices
· Manipulate reviews, ratings, or other user feedback
· Attempt to circumvent payment systems or avoid paying applicable fees
· Violate export control laws or regulations
· Engage in activities that constitute money laundering or financing of illegal activities
· Upload content depicting or promoting child exploitation, sexual abuse, or exploitation
· Upload content that incites violence, terrorism, or hatred
· Upload content that violates applicable privacy or data protection laws
1.16 Compliance with Online Safety and Digital Services Legislation
1.16.1 UK Online Safety Act 2023
We are committed to complying with the Online Safety Act 2023 (OSA) and relevant guidance from Ofcom. As a user-to-user service, we have conducted risk assessments for illegal content and, where applicable, content harmful to children.
We have implemented proportionate measures including content moderation processes aligned with our Acceptable Use Policy and Community Guidelines, age-appropriate handling of literary content that may contain sensitive themes, and ongoing monitoring for systemic risks such as recommender amplification of harmful material.
We will review and update our risk assessments annually (or sooner if required by Ofcom), in line with the Online Safety Act 2023 implementation timeline. We will monitor Ofcom's categorisation register (expected publication July 2026) and comply with any additional duties for categorised services that may apply. Our assessments and compliance measures are documented and available to Ofcom upon request.
We make our terms of service clear, accessible, and easy to understand, including how we address prohibited content and enforce these Terms. Users are informed of their rights and our processes for content moderation decisions.
We handle complaints related to content moderation diligently and provide reasons for our decisions where required.
Reporting Concerns: Users can report harmful or illegal content via report@biscuitreader.com or through the in-platform reporting tools.
1.16.2 EU Digital Services Act (DSA)
For users in the European Union, we comply with the Digital Services Act (DSA) requirements, including:
· Maintaining an internal complaint-handling system accessible via report@biscuitreader.com or in-account tools
· Providing clear reasons for content moderation decisions
· Offering an appeals process for moderation decisions
· Publishing transparency reports on content moderation activities
· Ensuring our terms of service are clear, accessible, and user-friendly
We will commence collection of data for harmonised transparency reports as required from 1 July 2025, with the first reports due in early 2026 per the European Commission's Implementing Regulation on transparency reporting. These will include details on content moderation actions, complaints, and any recommender system usage (if applicable), published on our transparency page.
Recommender Systems and Content Discovery:
If we implement algorithmic content recommendations, personalized feeds, or search ranking systems, we will provide users with information about how these systems work and allow users to influence or disable personalization where feasible, in accordance with DSA transparency requirements.
EU Users' Rights: Under the DSA, you have the right to contest our content moderation decisions. If you believe we made an error, you may submit an appeal through your account or by emailing report@biscuitreader.com.
1.17 Data Protection and Privacy
Your use of the Platform is subject to our Privacy Policy (Section 2 below). By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
1.18 Changes to Terms
We may modify these Terms at any time to reflect legal, operational, or regulatory changes.
Non-material changes (e.g., clarifications, formatting) will be effective immediately upon posting the updated Terms on the Platform.
Material changes (e.g., to licensing rights, opt-out provisions, content commercialization, liability limits, or moderation processes) will be effective 30 days after we notify you via: (i) email to your registered address; (ii) an in-app or platform banner notice; and (iii) posting the updated Terms.
Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to a material change, you may object by emailing enquiries@biscuitreader.com within the 30-day notice period, in which case you should stop using the Platform and may delete your content/account.
We will highlight key changes in the notice for transparency.
1.19 General Provisions
1.19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and Help You IT Limited regarding your use of the Platform.
1.19.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
1.19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it in the future.
1.19.4 Assignment
You may not transfer or assign these Terms or any rights or obligations under these Terms without our prior written consent. We may freely assign these Terms and all rights and obligations to any third party without restriction or notification.
1.19.5 Force Majeure
We are not liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
1.19.5 Force Majeure
We are not liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:
· Natural disasters (earthquakes, floods, fires, storms, pandemics)
· War, terrorism, riots, civil unrest, or acts of government
· Labor disputes or strikes
· Failure of telecommunications or internet infrastructure
· Failure of third-party services or suppliers
· Cyberattacks or security incidents affecting our systems
During such events, our obligations will be suspended for the duration of the force majeure circumstance. We will make reasonable efforts to resume normal operations as soon as possible.
